FPSCC By-Laws
April 8, 2004 revised
Article I Name
This organization shall be known as Florida Public School Choice Consortium herein also known as FPSCC, and seeks recognition as a non-profit organization under a 501 3c agreement.
Article II Vision
All Florida students will have access to high quality public school choice options.
Article III Mission
To provide information and support to maintain and expand public school choice options in Florida.
Article IV Goals/Purposes
- To promote public awareness of the benefits of diversity in public school settings.
- To promote public awareness of public school choice.
- To promote networking opportunities.
- To advocate for public school choice options.
- To provide professional development opportunities and resources.
- To assist in evaluating and/or assessing the impact of public school choice options on student achievement.
- To assist with the implementation of state and federal legislative choice requirements.
- To disseminate information about best practices and funding opportunities for public school choice options.
- To develop a common language for Florida’s public school choice options.
Article V Membership
- Target membership is professionals involved in magnet, charter and other public choice options.
- Membership in FPSCC shall be on an annual basis. A member may be dropped from membership for nonpayment of annual dues.
- District: District membership status shall be held by districts with magnet, public school choice, student assignment personnel and/or charter schools. The district will name all individuals to function for the district as members with all the benefits of individual membership such as holding office. Each district delegation will have three votes on any voted upon issue.
- Affiliate memberships shall be extended to professional groups/organizations, as well as private and public universities involved in magnet, charter and other public choice options. Each affiliate member group is entitled to no more than three votes depending on the size of the group they represent.
- Honorary membership may be conferred by 2/3 vote of the FPSCC Board of Directors upon an individual who has distinguished himself/herself by exemplary efforts related to FPSCC goals/purposes. Honorary members may not hold office or vote. Honorary members do not pay dues.
- Opportunity for In-Kind donations and time to serve as dues if donations/time is formally requested/submitted and reviewed and approved by Board and elected officers on an individual basis is available to potential members.
Article VI Officers of FPSCC
- Only voting members of FPSCC shall be eligible to hold office .
- Officers of FPSCC will be elected by voting members of the organization for two year terms or until their successors are chosen. Elections shall be held at the annual meeting and new officers will assume their responsibilities immediately following the annual meeting.
- Officers of FPSCC are:
President (succeeding to Past Presidency)
President-elect (succeeding to President then Past President)
Past President (immediately following term as President)
Secretary (eligible for re-election for a subsequent two year term)
Treasurer (eligible for re-election for a subsequent two year term)
- In the event that an officer cannot complete his/her term, the Board of Directors, by majority vote, shall choose a member to serve until the election at the next annual meeting.
- Each office carries a two term limit.
Article VII Board of Directors
- The Board of Directors shall consist of the five officers of the organization and seven service areas/ regional directors elected from the membership at the annual meeting.
- Regional directors shall serve for two year terms and will commence at the conclusion of the annual meeting when elected and continue for the specified term or until the successor is chosen.
- In the event that a regional director cannot complete his/her term, the Board of Directors by majority vote, shall choose a member to serve until the election at the next annual meeting.
Article VIII Functions of Officers
- President shall:
- exert leadership in the achievement of the purposes of FPSCC;
- preside at meetings of FPSCC and its Board of Directors;
- appoint all committees unless otherwise specified in these Bylaws or in the motion establishing the committee;
- serve ex-officio on all FPSCC committees;
- call all meetings of FPSCC and of the Board of Directors;
- perform all other duties pertaining to this office as appropriate to the goals/purposes of FPSCC.
- The President-elect shall:
- perform the duties of the President in the absence or incapacity of the President;
- serve as a member of the Board of Directors;
- serve as chairperson of the FPSCC Committee on Nominations;
- serve as Program Chairperson for activities during the FPSCC annual meeting unless otherwise designated;
- perform all other duties pertaining to this office, as appropriate to the objectives of FPSCC.
- The Immediate Past President shall
- serve as advisor to the Board of Directors;
- serve as Chairperson of the Membership Committee.
- The Secretary shall:
- keep a record of the proceedings of the Board of Directors and annual organization meeting;
- prepare correspondence as directed by the President or Board of Directors;
- serve as Chairperson of the Bylaws Committee;
- perform all other duties pertaining to this office, as appropriate to the objectives of FPSCC.
- The Treasurer shall:
- serve as Chairperson of the Finance Committee;
- assist in the preparation of the budget for FPSCC;
- follow accepted procedures for handling the funds of the organization;
- recommend to the officers or members any needed modification in procedures for managing fiscal affairs of the organization;
- prepare a final annual report for the membership, as well as for the annual audit;
- perform all other duties pertaining to this office, as appropriate to the objectives of FPSCC.
- Regional/members-at-large shall:
- be expected to serve on at least one standing committee;
- serve as local news liaison for the organization;
- perform all other duties pertaining to this office, as appropriate to the objectives of FPSCC.
Article IX Functions of Board of Directors
- Formulate and establish organization policies and report such policies to the members for review;
- Formulate operational policies appropriate for executive action and direct the execution thereof, subject to review by the members;
- Perform such other duties as may be delegated to it by the members and/or officers.
Article X Committees
- Standing Committees. The Standing Committees of FPSCC shall be appointed at the annual conference and shall include the following:
- The Membership Committee shall promote membership in FPSCC . It shall consist of the Immediate Past President as Chairperson and a minimum of three members appointed by the President with the approval of the Board of Directors;
- The Nominating Committee shall be responsible for carrying out the nomination procedures in accord with these Bylaws. It shall consist of the President-elect as Chairperson and a minimum of three members appointed by the President with the approval of the Board of Directors;
- The Finance Committee shall be responsible for the fiscal affairs of the organization. This committee is responsible for presenting the proposal for the establishment and maintenance of the dues structure. Dues must be approved by 2/3 vote of the voting membership at the annual meeting. It shall consist of the treasurer as Chairperson and a minimum of three members appointed by the President with the approval of the Board of Directors;
- The Bylaws Committee shall be responsible for ensuring that the affairs of the organization are conducted in accordance with the bylaws. It shall consist of the Secretary as Chairperson and a minimum of two members appointed by the President with the approval of the Board of Directors;
- The Conference Committee shall assist the host district in planning the annual meeting. It will consist of the host district leadership and two members appointed by the President with the approval of the Board of Directors.
2. Selection of Committees
a) The President and Board of Directors shall have authority to name such other standing and special committees as may be needed to conduct the activities of FPSCC.
b) Appointments of members serving on all committees shall reflect the multicultural, multi-interest (professional groups/organizations, as well as private and public universities involved in magnet, charter and other public choice options) membership of FPSCC.
Article XI Bylaws - Amendments. These bylaws may be amended by the membership at the annual meeting as follows;
- Amendments to the bylaws may be proposed by any member in writing and submitted to the President of FPSCC thirty days prior to the annual meeting;
- A 2/3 vote of the members present at the annual meeting is required for amendment approval;
- Proposed amendments approved at the annual meeting shall take effect at the close of the annual meeting and will be published in the FPSCC Newsletter.
- Amendments and voting opportunities shall consider the use of email/electronic voting processes when appropriate.
